Transparent agreements

Clear conditions for a professional collaboration.

Applicability

These general terms and conditions apply to all quotations, services and agreements of Upstream Consulting BV, trading under the name SecVise, with registered office at Schoolgatweg 2, 1501 Buizingen (Belgium), VAT BE 0648.724.221 (hereinafter: "the Supplier"). In case of any discrepancy, the Dutch version prevails.

Services & collaboration

The Supplier provides independent services in the area of information security, risk management and compliance. Quotations are without obligation and valid for 30 days, unless stated otherwise. An assignment is only binding after written confirmation by both parties.

Liability

The Supplier performs its assignments to the best of its ability. Any liability is limited to the amount of the relevant invoice and, where applicable, to the amount effectively paid out by the Supplier's professional liability insurer. The Supplier is not liable for indirect damage, consequential damage, loss of profit or loss of data, except in the event of intent or gross negligence.

The parties expressly agree that any compensation arising from the non-performance of obligations under this agreement is governed exclusively by contractual liability law, within the limits of applicable law. Even if the facts giving rise to the damage could also constitute a tort, recourse will only be possible on the basis of contractual default. The other party undertakes not to bring any claim against the Supplier on the basis of non-contractual liability, neither against the Supplier nor against its directors, employees or agents.

Invoicing & payment

Invoices are payable within 30 days of the invoice date, to the account stated on the invoice. In the event of non-payment on the due date, default interest is owed by operation of law and without notice of default, in accordance with the statutory interest rate as laid down in the Belgian Act of 2 August 2002 on combating late payment in commercial transactions. In addition, fixed compensation of €40 is due, supplemented by any reasonable recovery costs where these exceed the fixed amount.

Confidentiality & data

All information shared during the collaboration is treated strictly confidentially. See also our privacy policy for more information on how we handle personal data.

Intellectual property

Reports, models, templates and advice remain the property of the Supplier, unless agreed otherwise in writing. The client receives a right of use for internal purposes.

Applicable law

All disputes are governed by Belgian law. In the event of a dispute, the courts of Brussels have jurisdiction.
